Agreement between User and Strategy Generation Company LLC

These Website Terms of Use (the “Terms”) govern your access to and use of all websites, subdomains, web portals, online learning platforms, and digital applications operated by Strategy Generation Company LLC (“Strategy Generation Company,” “we,” “us,” or “our”), including strategygeneration.com and any associated online course platforms or member portals (collectively, the “Site”). The Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your access to or use of any part of the Site constitutes your binding agreement to all such Terms. Please read these Terms carefully and keep a copy for your reference.


Scope of Agreement and Separate Client Agreements

These Terms govern your access to and use of the Site and any products, public classes, or digital materials purchased directly through the Site.

If you engage Strategy Generation Company for custom, enterprise, or client-specific workshops or consulting services, such services will be governed by a separate client agreement. In the event of a conflict between these Terms and a signed client agreement, the signed client agreement shall control.


Privacy and Electronic Communications

Your use of the Site is subject to Strategy Generation Company’s Privacy Policy, which governs our data collection and privacy practices.

Visiting the Site or sending emails and contact forms to Strategy Generation Company constitutes electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.


User Accounts and Credentials

If you create an account on the Site to access courses, downloads, or materials, you are responsible for maintaining the confidentiality of your account credentials. You agree to accept responsibility for all activities that occur under your account. You may not share your login credentials with third parties.


Children Under Thirteen

Strategy Generation Company does not knowingly collect personal information from persons under the age of thirteen. If you are under 18, you may use the Site only with the permission and supervision of a parent or guardian.


Cancellation and Refund Policy

For products or public class registrations purchased from the Site via debit or credit card, requests for refunds will be honored within ten (10) days of the date of purchase. For self-paced online courses, no refunds will be issued once a course has been accessed or started. For public classes, no refunds will be issued for requests made within thirty (30) days of the class start date. Public class transfer requests will be accommodated as schedules permit and are subject to a 15% transfer fee per change.


Educational Purpose Only; No Guarantees

The information, training, templates, frameworks, and consulting materials provided on or through the Site are for educational and informational purposes only.

Strategy Generation Company makes no guarantees, representations, or warranties regarding specific business outcomes, financial performance, revenue growth, or operational results from implementing strategies or using materials obtained through the Site. Any examples, case studies, or testimonials provided on the Site are for illustrative purposes only and do not guarantee similar results.


Intellectual Property and Limited License

All content, frameworks, templates, slide decks, workbooks, videos, graphics, logos, and software available on or through the Site or provided during public or online courses (collectively, “Content”) are the proprietary intellectual property of Strategy Generation Company or its licensors and are protected by copyright, trademark, and other applicable laws.

You are granted a non-exclusive, non-transferable, revocable license to access the Site. For downloadable materials or templates purchased through the Site, you are granted a perpetual, non-exclusive, non-transferable license to use, adapt, and execute such materials strictly for your individual or internal organizational operations.

Unless explicitly authorized in writing by Strategy Generation Company, you agree that you will not:

  • Modify, publish, transmit, reverse engineer, or create derivative works from the Content.
  • Resell, redistribute, share, re-license, or publicly display any materials, templates, or course content.
  • Use our proprietary frameworks, materials, or methodologies to conduct training or consulting services to third parties.
  • Use, feed, crawl, or scrape any Site Content or purchased materials into any artificial intelligence (AI), machine learning, or automated model-training tools without prior written authorization.
  • Remove or alter any copyright, trademark, or proprietary attribution notices.


Prohibited Uses and Conduct

As a condition of your use of the Site, you warrant to Strategy Generation Company that you will not use the Site for any unlawful or prohibited purpose. You agree not to:

  • Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use.
  • Attempt to gain unauthorized access to any portion of the Site, user accounts, or computer systems.
  • Scrape, harvest, or extract data, Site Content, or user information without prior written permission.
  • Use any robot, spider, scraper, deep-link, or other automated data-gathering tool to access, monitor, copy, or mine any portion of the Site, or use Site Content to train artificial intelligence or machine learning algorithms.


International Users

The Site is controlled, operated and administered by Strategy Generation Company from our offices within the United States of America. If you access the Site from a location outside the United States of America, you are responsible for compliance with all local laws. You agree that you will not use the Strategy Generation Company Content accessed through the Site in any country or in any manner prohibited by any applicable laws, restrictions or regulations.


Interactive Features and Communication Services 

The Site may contain communication features such as forums, comment sections, or chat areas (“Communication Services”). You agree to use these services only to post and receive messages that are proper and related to the specific service.

Strategy Generation Company reserves the right (but assumes no obligation) to review, edit, or remove user-posted material in its sole discretion and to terminate access to Communication Services at any time without notice.


User Submissions and Feedback

Unless otherwise agreed in writing, Strategy Generation Company does not claim ownership of feedback, suggestions, or materials you post or submit to the Site (“Submissions”). However, by submitting content, you grant Strategy Generation Company a royalty-free, perpetual, worldwide license to use, reproduce, edit, and publish your Submission in connection with operating and marketing our business.


Third-Party Links and Services

The Site may contain links to third-party websites (“Linked Sites”). Linked Sites are not under the control of Strategy Generation Company, and we are not responsible for their content, policies, or practices. The inclusion of any link does not imply endorsement by Strategy Generation Company.

Data shared with third parties to facilitate online purchasing, course streaming, or class logistics is handled in accordance with our Privacy Policy.


Indemnification 

You agree to indemnify, defend, and hold harmless Strategy Generation Company, its officers, directors, employees, agents, and third parties from and against any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising out of:

  • Your use of or inability to use the Site or services;
  • Any user content or Submissions made by you;
  • Your violation of these Terms or any rights of a third party; or
  • Your violation of any applicable laws, rules, or regulations.


Arbitration and Dispute Resolution

Please read this section carefully—it affects your legal rights.

Mandatory Binding Arbitration: Any dispute or claim arising out of or relating to these Terms or the Site shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

Class Action Waiver: ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims.


Disclaimer of Warranties and Limitation of Liability

Disclaimer of Warranties: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL SITE CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STRATEGY GENERATION COMPANY OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THE SITE OR SERVICES. IN NO EVENT SHALL STRATEGY GENERATION COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO STRATEGY GENERATION COMPANY IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) $100 USD.


Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Connecticut, without giving effect to conflicts of law principles. For any claims not subject to mandatory arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Connecticut.


Severability and Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. These Terms constitute the entire agreement between you and Strategy Generation Company regarding the use of the Site.


Changes to Terms

Strategy Generation Company reserves the right, in its sole discretion, to modify or update these Terms at any time. The most current version will supersede all previous versions. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.
